第1篇 外贸代理合同
本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。

6 佣金

7 市场情况报告
乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料。

party b shall forward once every three months to party a detailed reports on current market conditions and of consumers comments. meanwhile, party b shall, from time to time, send to party a samples of similiar commodities offered by other suppliers, together with their prices, sales informaiton and advertising materials.
8 宣传广告费用
在本协议有效期内，乙方在上述经销地区内所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。

9 协议有效期
本协议由双方签字后生效，有效期_____年，自_____至_____。若一方希望延长本协议，则须在本协议期满前一个月书面通知另一方，经双方协商决定。
若协议一方未履行协议条款，另一方有权终止协议。

10 仲裁
在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.
11 其它条款
（1） 甲方不得向经销地区其它买主供应本协议所规定的商品，如有询价，当转给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方_____%的佣金。
（2） 若乙方在_____月内未能向甲方提供至少_____的订货，甲方不承担本协议的义务。
（3） 对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议的约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。
（4） 本协议受签约双方所签定的销售确认条款的制约。
11 other terms&conditions
(1) party a shall not supply the contracted commodity to any other buyers in the above mentioned territory. direct enquiries, if any , will be referred to party b. howerver, should any other buyers wish to deal with party a directly, party a may do so, but party a shall send to party b a copy of sales confirmaiton and give party b_____% commission(s) concluded.
(2) should party b fail to pass on his orders to party a in a period of _____ months for a minimum of _____, party a shall not bind himself to this agreement.
(3) for any business transacted between governments of both parties, party a may handle such direct dealings as authorized by party a’s government without binding himself to this agreement. party b shall not interfere in such direct dealings, nor shall party b bring forward any demand for compensation therefrom.
(4) this agreement shall be subject to the terms and conditions in the sales confirmation signed by both parties hereto.

第3篇 外贸代理合同范本

经甲乙双方友好协商，本着平等互利，共同发展的原则，就共同合作经营出口 业务达成以下协议：
一、 协议有效期： _____ 年 _____ 月 _____ 日至 _____ 年 _____ 月 _____ 日
二、 基本约定 未经乙方许可甲方不得在任何场合使用乙方的名义签订合同，如因此产生争议由甲方负责。出口业务因甲方原因引起的收汇风险均由甲方自行承担，甲方或甲方供应工厂不得以任何理由向乙方索取未收汇部分的货款。
三、 操作方式甲方需向乙方如实提供出口货物明细单，发票，装箱单、 增值税 专用发票和 购销合同 在货物报关出口后 70 天内交给乙方。甲方必须按照报关单上的商品品名和数量等要求完整地开具增值税专用发票，并在开票日期 30 天内交给乙方认证，提供发票同时必须附上工厂的正本购销合同。
四、 费用结算甲方同意承担委托乙方出口货物的所有费用，如海运费、保险费、仓储费、包干费、签证费、快件费和银行费用等。该费用如系乙方垫付，可在乙方付给甲方货款时予以扣除。 甲方通过乙方支付货款给工厂，须在乙方收汇后根据工厂开具的 增值税发票 按到款日人民币汇率的基础上，按双方约定的结算价和甲方的付款要求在 3 个工作日内将货款支付给工厂。出口收汇后，乙方可以根据甲方要求预付工厂货款。双方确认按代理费用结算：甲方委托乙方代理出口，第一年乙方按 1 美金收取 _____ 元人民币 ,1 欧元收取 _____ 元人民币向甲方收取代理费用。
五、 退税如因甲方增值税发票来源不明，购销合同不能在上述规定的时间内及时交给乙方并在国税部门显示申报信息等原因，而影响乙方核销退税的，甲方将承担由此而引起的一切责任和损失。若政府退税资金紧张使退税政策兑现滞后，乙方可重新对上述结汇比进行调整或双方协商延迟付款事宜。若今后国家出口退税率或政策有变化，按多退少补的原则由甲方承担。
六、 责任与义务甲方不得出口违反中华人民共和国法律或国际 法规 的货物，甲方应对出口货物所涉及的 知识产权 的合法性负全部责任，若由上述事项所引起的各种纠纷及一切后果均由甲方负责。乙方必须遵守商业道德，对甲方提供的货物工厂及客户资料严格保密。
七、 其他若甲方有一定额度的盈利保留在乙方帐户，需要结利润时甲方必须开具运费发票按银行实际汇率向乙方结算，或根据需要由甲方出具服务发票后乙方支付。所有合作过程中的争议，双方应尽量友好协商解决，如协商不成应提请乙方所在地有关部门或执法机构解决。本协议一式两份，甲乙双方各执一份，经双方签字盖章后生效。
第4篇 外贸代理出口合同

依照国家有关法律 法规 ，签约双方就委托代理出口业务有关事项协商一致，订立本合同：
一. 委托代理出口商品名称：
出口口岸： 深圳 ；总金额：xxx万美元，在2004 年年底前履行完毕。
具体型号、规格、数量、金额在每批出口前另行确认。
二. 双方权利义务：
(一). 代理方：
1. 代理委托方办理有关货物出口报关、报检、托运手续及结汇、退税事宜,但因 出口合同 及其附件的瑕疵所产生的一切责任由委托方自行承担。
2. 因委托方原因致使出口合同不能履行、不能完全履行或迟延履行的，代理方有权解除本 代理合同 ，委托方应承担由此产生的一切费用和后果。
3. 因外商原因致使合同不能履行、不能完全履行或延迟履行，代理方应及时通知委托方采取补救措施。如委托方在 诉讼时效 内书面要求对外索赔的，代理方应根据其出口合同，积极协助委托方对外索赔，委托方承担由此产生的一切费用和后果。并应在索赔前，依据代理方书面通知将预付费用划至代理方帐户。若委托方未支付有关索赔费用，而由代理方先行支付的，则委托方丧失享有索赔产生的权利，但不免除因索赔而产生的义务。上述义务包括但不限于承担代理方先行代垫的 律师 费、 诉讼费 、仲裁费、差旅费、通讯费等。反之，如外商索赔，由代理方应诉/应裁，但委托方应无条件协助并承担应诉/应裁的一切费用和后果。
(二). 委托方：
1. 应提供以下有效证件复印件：
① 企业法人 营业执照 （含非法人营业执照）；
② 组织机构代码证；
③ 税务登记证（国税）；
④ 增值税 一般纳税人资格证书或申请认定表（正在申请一般纳税人的企业）；
⑤ 如是外商投资企业或中外合资企业，还需要提供：港澳台侨企业批准证书。
若以上证照到期后，委托方在年审后半个月内应提供上述资料复印件给代理方。
2. 保证所委托出口的货物符合出、进口国的国家政策法律规定，并保证委托出口的货物不侵犯他人 知识产权 。
3. 负责组织出口货源，并根据出口合同的规定按时将委托出口货物运至出运口岸及承担运费，并保证所委托的实际货物与报关品名、规格、数量、质量、包装等相符。若委托方违反本条规定，则应承担由此产生的对外及对代理方的赔偿责任。
4. 协助代理方办理报关、报检、制单、结汇等具体业务，保证从代理方处取得的所有单证的安全，不得挪作它用。
5. 代理方原则上不接受拼柜货物。若确有必要，委托方应于货物报关出口前一周书面通知代理方，由代理方决定是否接受。
6. 委托方应如实申报，不得虚报数量，高报价值。
7. 如委托方指定货代以及需异地报关出口的货物，委托方应通知代理方其货代名称、地址、联系人、电话、传真等详细资料，并允许代理方与货代直接联系，在货物正式报关出口前，由货代将装箱单、发票传真给代理方确认。
8. 保证 增值税发票 和专用缴款书真实、有效、合法。
9. 未经代理方同意，委托方不得擅自更改确认后的合同条款，不得对外商作出合同之外的承诺。
10. 承担因委托方原因致使本合同及与外商签订之合同不能履行的一切责任。
11. 对外商资信负责，承担因外商原因致使与外商签订之合同不能履行或与外商签订之合同已部份履行但无法收汇核销的责任。前述外商违约导致本合同不能履行或不能完全履行，不影响本协议项下代理方收取代理费的权利。

7 市场情况报告

一、代理及法律关系
1、代理在本协议有效期内，甲方委任乙方作为其代理，以便在代理地区获致产品的订单。乙方愿意接受并承担此项委托。

3、转介客户除本协议另有规定外，如地区其他客户直接向甲方询价或订购，甲方应将该客户转介乙方联系。
4、价格甲方提供乙方的产品价格资料，应尽可能保持稳定，如有变动应及时通知乙方，以利推销。
5、优惠条款甲方提供乙方获致订单的条款是最优惠的。今后如甲方向地区其他客户销售产品而提供比本协议更有利的条件时，甲方应立即以书面通知乙方，并向乙方提供比此项更有利的条件。
6、保证甲方担保凡根据本协议出售的产品如经证实在出售时质量低劣，并经甲方认可，则甲方应予修复或调换。但此项修复或调换的保证，以产品在出售后未经变更或未经不正确的使用为限。除上述保证外，甲乙双方均同意不提供任何其他保证。
三、乙方的责任
1、推销乙方应积极促进产品的推销，获取订单并保持一个有相当规模和足够能力的推销机构，以利产品在地区的业务顺利开展和扩大。
2、禁止竞争乙方除得到甲方书面同意外，不应制造、购买、获取订单、或协助推销与本协议产品相同或类似的其他国家商品，或将本协议内产品转销其他国家和地区。
3、最低销售额在本协议有效期间的第一个十二个月内，乙方从地区客户获得的产品订单，总金额应不少于____________元。以后每十二个月递增______%。
4、产品价格与条件乙方保证按照甲方在本协议有效期内随时规定的价格和条件进行推销。在获取订单时；乙方应充分告知客户，甲方的销售确认书或合同内的一般条款以及任何订单均须经乙方确认接受后方为有效。乙方收到的产品订单，应立即转给甲方以便予以确认或拒绝。

四、费用结算
1、甲方同意承担委托乙方出口货物的所有费用，如海运费、保险费、仓储费、包干费、签证费、快件费和银行费用等。该费用如系乙方垫付，可在乙方付给甲方货款时予以扣除。
2、甲方通过乙方支付货款给工厂，须在乙方收汇后根据工厂开具的增值税发票按到款日人民币汇率的基础上，按双方约定的结算价和甲方的付款要求在______个工作日内将货款支付给工厂。出口收汇后，乙方可以根据甲方要求预付工厂货款。
3、双方确认按代理费用结算甲方委托乙方代理出口，第________年乙方按1美金收取______元人民币，1欧元收取______元人民币向甲方收取代理费用。
五、退税
1、如因甲方增值税发票来源不明，购销合同不能在上述规定的时间内及时交给乙方并在国税部门显示申报信息等原因，而影响乙方核销退税的，甲方将承担由此而引起的一切责任和损失。
2、若政府退税资金紧张使退税政策兑现滞后，乙方可重新对上述结汇比进行调整或双方协商延迟付款事宜。若今后国家出口退税率或政策有变化，按多退少补的原则由甲方承担。风险提示：
建议违约责任具体明确，比如：如一方违反本合同应怎样之类的条款，尽量要避免笼统约定承担违约责任。并且，可以根据际情况来规定违约赔偿金的数额。此外，违约金的数额不应过高或过低，过高可能面临着违约诉求不被支持的风险，过低则不利于守约方，因此，建议咨询专业律师进行商榷。
六、违约责任
1、甲方不得出口违反中华人民共和国法律或国际法规的货物，甲方应对出口货物所涉及的知识产权的合法性负全部责任，若由上述事项所引起的各种纠纷及一切后果均由甲方负责。
2、乙方必须遵守商业道德，对甲方提供的货物工厂及客户资料严格保密。
